Situation:

Client looking to improve product portfolio and market access via bolt-on acquisitions. WWG was engaged to support deal on Asia based target.

 

Action:

  • WWG provided hands-on leadership and tools for strategic fit assessment, preliminary DD and valuation.

  • Led business unit and cross functional teams in validating all strategic fit and synergy assumptions and building robust DCF and comparatives based valuation models.

  • Developed future product portfolio architecture and revalidated business’ strategy and potential role of target.

  • Conducted preliminary DD and data gathering from target.

  • Researched and analyzed industry deal history in the region and identified likely competitive private equity bidders, their strategies in the region and propensity to pay up.

Result:

  • WWG Recommended That Client ‘Walk Away’ From LOI Given Gap Between Realistic Valuation ($103M with synergies) and Target’s Expectations ($171.5M), thus saving the client from potentially a very dilutive deal.
